Terms and Conditions for Goodbuy Fest, 2020

“Goodbuy Fest, 2020” (hereinafter referred to as “Show” or “Talent Show” or “Goodbuy Fest, 2020”  Contest) is organized and conducted by Shoppers Stop Limited. (“The Company” or “Shoppers Stop”). The Talent Show will be primarily hosted on the content hub microsite on www.shoppersstop.com on the basis of Terms and Conditions stated hereunder (“Rules” or “Rules and Regulations” or “T&C”). The Company reserves the right to modify these Rules and Regulations without any prior notice. You are advised to regularly view and access these Rules. If you do not agree with any of the Rules and/or any amendments thereto, you are requested not to use this microsite/services or participate in the Talent Show.

PROCEDURE TO PARTICIPATE IN THE SHOW

1. Any User can participate in the Show by clicking on the registration link provided for each Talent Show
2. Once the User accesses the registration form, they will be asked to register themselves for the Show by providing name & email id as part of the Entry form.
3. No fee or charges in any manner are to be paid by the User to participate in this Show. The Show is free of cost for every User.
4. The User gets themselves registered by entering the mandatory details on the registration form:
5. The User must register on the Website using the exact name as available on their valid Indian identity proof document such as Pan / Aadhaar / Passport / Voter ID card etc. to be eligible to participate in the Show.
6. The User must register for the Talent Show via the registration form using the exact telephone / mobile no. that was used for getting themselves enrolled for loyalty program First Citizen membership run by the Company or using the exact telephone / mobile no. used for getting themselves registered in the Company database at the time of shopping.
7. The Participant(s) is/are advised to read the Terms of Use & Terms and Conditions and make themselves acquainted with the same. By submitting the entry, the Participant(s) agrees to the Terms of Use & Terms and Conditions of the Show.
8. For the purpose of deciding the Winners, one mobile phone no. will be considered as a unique User

1. Participant must follow exact procedure mentioned for each contest theme in the contest participation details
2. Any registration form submitted without video/image link, or submitted with Photograph instead of video/image then such entry will be disqualified from further participation
3. The video/image uploaded on the link should be clearly viewable. Any video/image which is unclear shall lead to disqualification of the Participant(s).
4. If any entry which contains a video/image which is not viewable due to participants account privacy settings on their social media profile or for any other reason, then such entry will be disqualified from further participation. The Participant’s Social media account settings should allow for viewing of the video/images as the case may be.
5. A Participant can submit only one entry. If any Participant submits more than one valid entry, then the valid entry which was submitted first will be considered for judging and remaining entries will be disqualified from further participation.
6. The Jury / Show Management will approve entries. .
7. Entry (ies) which are not attributable to the theme would automatically stand disqualified. Determination of the same is at the discretion of the Jury
8. Any video link which contains video other than the theme shall be disqualified from further participation.
9. The registrations for participation in the Show should be completed on or before the closing of the Show Period and should be complete in all sense to be considered as a valid entry. Any incomplete, erroneous, or unclear information, shall be considered invalid and deemed null and void and the entry of such Participant will not be considered.
10. The Participant(s) will not be levied any charge to register themselves for this show, to participate in the Show however, the network provider may levy data and other charges to the Participant(s), at the applicable rate for using internet connection. It should be verified by the Participant(s) at his/her sole responsibility. The Company and-shall not be responsible for any such charges incurred by the Participant(s). 11. By participating in the Show, it is deemed that the Participant(s) have read, understood, accepted and agreed to abide by all the Rules & Regulations of the Show as mentioned from time to time and is unconditionally bound by the terms of use and privacy rules of the Show as uploaded on www.shoppersstop.com and that any decisions made by the Jury and the Company shall be valid and binding..
12. In the event of any technical errors, the Company and/or the Show Management shall not be responsible for the same. Further, entries received despite or owing to any technical errors shall be considered invalid and the Company shall have the sole discretion in such cases.
13. In order to confirm the eligibility of the Participant(s), the Participant(s) are required to submit scanned copies of the following documents mandatorily as and when asked for by the Company. The Company has the right at any time to require proof of identity and/or eligibility. Failure to provide such proof within a reasonable time could result in disqualification from the Show. If the Participant(s) are found to be ineligible, or if they have not complied with these Rules and Regulations, then such Participant(s)will be considered as disqualified:

• Valid list of documents for Proof of Identity & Address along with PAN Card (any one of the following along with PAN)
  • Voter ID Card
  • Passport
  • Driving License
  • UID (Aadhar Card)

(Submission of the aforementioned documents does not imply that the Participant(s) has been selected for further participation)

1. Documents provided should be clear and readable and any failure to provide the same can lead to disqualification. The Company reserves the right to disqualify any Participant(s) from the Show, in its sole discretion, if the Company is not satisfied with the documents submitted by the Participant(s) at any stage, if the Participant(s) is unable to supply any of the documents required by the Show Management or the Company or if the Participant(s) supplies unclear, inaccurate, incomplete or misleading personal details and/or information. Successful verification of the documents is mandatory for the Participant(s) to participate in the Show. The Company reserves the right to ask the Participant to re-submit any of the above-mentioned document proof at any stage of the Show.
2. The Company may, at its discretion, contact the Participant(s), if required, for any clarifications needed for the information provided during the registration or for the documents submitted for verification
3. The Company reserves the right to disqualify a Participant(s) in case any discrepancy is found to exist in the information furnished/provided/stated by the Participant(s) during the conversation with the Show Management/the Company or any of the Company’s sub-contractors and vendors of the Show, and/or in the information stated in the documents provided by the Participant(s).
4. All personal details and information requested by and supplied to the Company by each Participant(s) must be truthful, accurate and in no way misleading. The Company reserves the right to disqualify and Participant(s) from the Show in its sole discretion, should the Participant(s) at any stage supply untruthful, inaccurate or misleading personal details and/or information.
5. The Participant(s) acknowledges that he/ she has voluntarily chosen to participate in the Show at his/ her free will and is willing to bear all risks, costs, and consequences arising from such participation.
6. Participant(s) should participate on their own and the participation shall not be transferable
7. Each Participant must submit only one entry per contest. In the event multiple entries are received by the Company from a single Participant, the Company shall consider only the first complete entry that has been submitted by such Participant. The Participant shall not be allowed to request any change in the entry made by the Participant.

2. An interim Jury will evaluate the eligible entries basis the pre-determined criteria. The interim Jury post verification of the details, eligible videos/ pictures shall provide scores to each Participant under each pre-defined criterion.

1. In case of a tie for any position, more than 1 entry can be selected, or tie breaker panel will be created to break the tie.
2. The Winner(s) will be contacted by Call Center Executive to inform about their video/picture being selected by the Jury.
3. The Show Management and or the Company will not be liable for telephone system difficulties, downtime of systems, back-up of data and other technical impediments during the Talent Show process.
4. The Show shall be organized and supervised by the Company or any third party authorized by the Company.
5. The Company shall not be responsible for any costs, expenses or other liability whatsoever in relation to, arising from or connected with the participation in the Show. Company shall not be responsible for any injury (including death), loss, damage or other consequence whatsoever arising from, suffered or incurred by Participant(s) from or in relation to the Show or participation in the show. The Company assumes no responsibility for any damage, loss, injury or disappointment suffered by any Participant(s)/Winner(s) participating in Show.
6. Determination of the Winners in a category to which an application belongs is at the discretion of the Jury
7. The determination of Winners for any award category rests with the Jury

1. By choosing to Participate in the Show in the manner provided in this document shall be considered as acceptance of these Rules and Regulations.
2. These Rules and Regulations may be subject to amendment from time to time and as such participation in the Show by the Participants would be considered acceptance of such amended Rules & Regulations.

• Any person who claims to be from the Company and asks the Participant(s) for paying an entry fee for participation in the Show is defrauding the Participant(s) and he/she should report this to the local police immediately. The only way to participate and enter the Contest are more particularly laid out in the in the manner detailed hereunder. Any person who claims to be from the Company and offers any lotteries, prize monies, cash prize, etc. to anyone is defrauding the person and he/she should report this to the local police immediately.

1. Registration to the Show does not entitle any Participant(s) to be the Winner. If at any time, including after declaration of winners, any infor//mation submitted by the Participant(s) is found to be incorrect, false, or otherwise misrepresented or misleading, the Participant(s) shall be liable to be forfeited with the Winner title provided by the Company.
2. The Company and/or the Show Management reserves the right in its sole and absolute discretion to amend, alter, modify, change, vary or terminate the Show format, any terms and conditions mentioned and accordingly the rules for registration, Participant(s) eligibility criteria, Rules and Regulations and/or the Show at any time, at its sole discretion, during the Show Period or otherwise without giving any prior notice to the Participant(s). the Participant(s) are required to check the Rules and Regulations from time to time. The Participant(s) by participating in the Show agrees to such amended terms. In case any portion/clause of these rules is deemed invalid or becomes unenforceable, such portions shall be considered divisible and shall not be part of the consideration, and the remainder shall be valid and binding.
3. The Company and/or the Show Management reserves the right to terminate and/or postpone the Show without giving any prior notice to the Participant(s). Such decision shall be final and binding on the Participant(s) and the same shall not be disputed and/or challenged in court of law.
4. Participant(s) hereby declares and undertakes that they do not suffer from any disease and/or ailment which restricts and/or prevents them from participating in the Talent Show and Participant(s) alone shall be fully responsible for the same. If a Participant is allergic to any substance or with any medical conditions or skin disease, prone to allergies etc. then the Participants shall participate at his/her sole discretion and judgement and The Company and The Show Management shall not be liable for the same. Participant agrees that they have read and understood the aforesaid terms and conditions and agree to abide by the same.
5. The Entrant(s) shall ensure that the photos or videos submitted by them in any public domain or their performances shall not be obscene, vulgar, defaming, denigrating women or children, hurting religious sentiments, depicting violence or shall not infringe the rights of a third person. In the event of any violation, the Entrant(s) shall immediately be disqualified from taking part in the Show or any further rounds of participation and such Entrant(s) shall solely remain liable for any action (criminal/civil) arising therefrom.
6. Once registrations are done by the participants for the Show, then it is assumed that the person registering has provided the Company and/or Show Management permission to send SMS to him/her or call him/her, whether such sender is registered on National Do Not Call registry. The Company will only contact the Entrant on mobile number and /or email address provided by the Entrant(s).
7. The Company reserves the right, at its sole discretion, to disqualify any Entrant(s) who may be responsible or who tampers with the registration data, registration process, microsite, and to cancel, modify or terminate the Show or any part of the Show. Further, the Company reserves the right to take legal action against such Entrant(s) who has committed a breach under the Cyber laws, Information Technology Act, 2000 and all its amendments thereof and/or any other laws as may be applicable from time to time and the Company shall be entitled to such remedies in law as applicable.
8. Entrant(s) shall not attempt to gain unauthorized access to the Entrant accounts, servers or networks connected to the Company services by any means including but not limited to disrupt the Company services by uploading content which contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource. Entrant(s) agree not to disrupt, overburden, or aid or assist in the disruption or overburdening of any computer or server used to offer or support the Company or the Company services. Entrant(s) shall not attempt to transmit content regarding services, products, surveys, Shows, pyramid schemes, spam, unsolicited advertising or promotional materials, and/or chain letters.
9. The Company shall not be responsible for any break or disconnection or disruption and/or liable in any manner whatsoever for any network problem, unclear network, disruption in the network, connection failure, electricity failure, internet service provider, facility provider, or due to capacity constraints or any other reason whatsoever irrespective of the network being used. In addition, the Company shall not be responsible and liable in any manner whatsoever in the event of any failure in the registration process including without but not limited to telecom failure, session failure, logging failure, close or any other difficulties of such nature due to which the Participant(s) is charged by the telecom operator and/ or is unable to participate.
10. In case, there is any mismatch between Entrant details updated at the time of registration and the documents provided, the Entrant shall be disqualified from further participation in the Show, if the Entrant is unable to resolve discrepancies.
11. The Company shall keep all the information collected from the Entrant confidential and shall share the same with the Show Management for the purpose of inviting / communicating with the Entrant(s), if required. The Company shall ensure that the Entrant(s) are contacted by the Show Management and/or Company or on behalf of the Company only for the purpose of present Show. The Company may share the information so collected with any party or save it, either for the purpose of the present Show or for any other purpose as the Company may deems fit. The Entrant(s) by providing the aforesaid personal information hereby agree that the Company shall have the right to share the information so collected with the Show Management as required for the purpose of this Show or any other activity as the Company may deem fit and hereby agree that they shall not file any claim against the Company for sharing of such personal information. 12. Whilst the Company shall make all reasonable endeavors to (i) enable Entrant(s) to proceed with the Show (ii) to contact all Entrant(s) at each relevant juncture of the Show, the Company can make no guarantee thereof and The Company shall in its sole discretion be entitled to proceed with the next entitled Entrant(s) under these Rules, in case it is unable to successfully contact and communicate with Entrant(s).
13. Candidature in the Show are not transferable, assignable or exchangeable and only the Participant and no other person, representative or agent may participate in the Show.
14. Entrant warrants and represents to the Company that all information including any communications, photos, text, graphics, images and other material submitted by the Entrant for the Show (“Content”) are solely owned by the Entrant or are provided with the express authority of the applicable owner(s) and the use of the Content by the Company will not infringe upon any other individual or organizational rights (including, without limitation, intellectual property rights). Entrant(s) shall be completely responsible for handling any infringement or alleged infringement and shall indemnify the Show Management, the Company, or their respective parents, subsidiaries, affiliates, and their respective officers, directors, employees, process advisors, contractors and agents, sponsors, partners, third party associates from any claims (in India or abroad), arising out of or in connection with losses, costs, damages, expenses from infringement or alleged infringement by any Content, or the defense of a claim or any costs payable thereof.
15. In consideration for participating in the Show, the Intellectual Property Rights (IPR, including but not limited to trademark, copyright, design, patent, etc.) arising out of and in connection with Show including but not limited to any communications, photos, videos, text, images, documents of the Entrant(s) and other material created by any Entrant during the course of the Show (‘Material’) shall be a work for hire owned by the Company and/or its assignees and if not deemed a work for hire shall hereby be assigned upon creation to the Company, without any further documentation and the Company is hereby permitted to use it as per its sole discretion and without any further reference, permission or consent from the Entrant or the Company. Entrant(s) hereby assign any and all rights Entrant(s) may have or acquire in the Material and all benefits and/or rights resulting therefrom to the Company without additional compensation. Entrant(s) hereby agree to execute such assignments and other documents as the Company may consider appropriate to vest all right, title and interest therein to the Company. All such assignment of rights shall be perpetual, irrevocable, and universal, and shall not lapse, even if the Company fails at any time to commercially exploit any such Material. Any assignment of copyright hereinunder includes all rights of paternity, integrity, disclosure and withdrawal and any other rights that may be known as or referred to as 'moral rights' (collectively 'Moral Rights'). For avoidance of doubt the Company wishes to clarify that, any and all kind of developments, Material, creations, created or provided or developed by the Entrant during the Show shall be solely and exclusively owned by the Company.
16. The Entrant(s) by participating in the Show automatically grant Show Management, the Company a royalty-free, irrevocable, universal, transferable, non-exclusive right and license to use and display such entry for participation, and the Show, and any intellectual property rights in the Content and in relation to and arising out of such participation in the Show and images, videos or footage thereof which shall include trade publications, press releases, electronic posting to the Web Page, or any other Website, electronic hyperlinks to the Web Page, and any display format selected by the Company during the Show or use by the Company as they deem fit and mutually agreed between them, without any further documentation, permission or consent of the Entrant(s). For avoidance of doubt the Company and Show Management wish to clarify that though the Show Management and the Company have a license to use and display such entry for participation, and the Show, and any intellectual property rights in the Content and in relation to and arising out of such participation in the Show (as stated in detail above) the intellectual property rights in the Materials and any developments, creations supplementary and ancillary thereto shall always be owned by the Company.
17. By entering into the Show, the Entrant(s) (individually) waives all copyrights, rights of publicity and any related rights and consents to the Company’s right to picture, tape or portray him/her as a Show Winner, and to exhibit and/or the video and/or pictures of themselves or others uploaded by them for this Talent Show in any and all media now existing or hereinafter created, including without limitation television, film, radio and print media, without any compensation whatsoever for advertising and publicity purposes, except where prohibited by law. The Entrant also consents to the Company’s right to use Entrant(s) (his/her name), voice or picture, or the content of his/her participation i.e. Publicity Rights. The Company can allow its agencies to exercise/exploit the Publicity Rights in conjunction with the Company.
18. Entrant(s) hereby agree and irrevocably acknowledge that the Company shall have sole and exclusive right including but not limited to intellectual property rights (copyrights and trademarks) and other proprietary rights in and to the Show, and all its components whatsoever.
19. Entrant(s) undertake that the Entrant(s) shall not violate the rights of any third party including but not limited to privacy rights, copyrights, trademark or any other intellectual rights; shall not upload, store, collect, transmit or cause the upload, storage, collection, transmission, of any information through the website(s) which violates any applicable laws, including, inter alia, belonging to another person; or is harmful, harassing, blasphemous, defamatory, obscene, invasive of other's privacy, pedophilic, libelous, hateful, or racially, ethnically objectionable, disparaging, harms minors in any way, violates any law for the time being in force. Neither the Company nor the Show Management accepts any responsibility for copyright or trademark issues or violations pertaining to any act by the participant or the winner as the case may be.
20. The Show Management, the Company cannot and shall not be accountable / liable for any disruptions / stoppages / interruptions / any governmental order, law, rule, regulation, duplication or cancellation of the Show. Further, neither the Show Management, the Company nor its contractors will be held responsible for matters out of its control and for force majeure reasons.
21. Neither the Company nor any of its affiliates or group companies shall be liable for any damage or loss (including but not limited to indirect, punitive or consequential loss) arising from personal injury or death, or loss of, or damage to property, which is suffered or sustained in connection with the participation herein or any aspect of the Show and further neither the Company nor any of its affiliates or group companies shall be responsible for any consumer grievances with respect the participation for the Show.
22. No hazardous liquids including naked flames, real animals, sharp instruments, including swords, knives, axes, may be used while participating in the Talent Show.
23. Using of false names/ identities, illegal/false mobile numbers, fake email addresses and/or any other illegal means shall be considered as suppression of facts and if the company has to suffer any adverse consequence in this respect, the Participant(s) shall be penalized for the same in a manner as the Company may deem fit.
24. Entrant(s) found indulging in any malpractices such as cheating, misrepresentation, submission edited video using filters, effects, or providing false information shall be disqualified from the on-going Registration/Show and strict legal action may be taken by the Company against such Entrant(s).
25. No Participant should perform any act which may upset members of the audience, staff or Jury or be detrimental to the reputation of the Company, the committee or sponsors, if any.
26. The Company accepts no responsibility or liability for loss or damage to any life, eye(s), skin, or any other body part of the Participant and/or damage to property belonging to anyone involved in the Talent Show.
27. No swearing/ foul language or unsociable behaviour will be accepted.
28. All Participants will act in a professional way throughout.
29. Participants shall participate in this Talent Show at his/her own risk and consequences and the Company and/or its directors, employees, etc. shall not be responsible in any manner whatsoever.
30. The Company shall not entertain any written and/or oral complaints arising out of this Talent Show and the Participants shall participate out of their free will.

1. The decision of the Company on all matters, queries or disputes, concerning the Show including the selection of Entrant as the Winner and the rules and regulations shall be final and binding and no correspondence shall be entertained in this regard.
2. In the event any Entrant (including Winner) is found to be in violation of any rules of the Show or is found to be involved in any form of fraud, misrepresentation, dishonesty during the Show, the Show Management reserves the right to initiate legal proceedings against such Entrant and take any other action in its sole discretion including but not limited to forfeiture of winner title or recovering of any expenses it may have incurred towards that Entrant.
3. The Entrant specifically agrees and acknowledges that any disputes or claims shall be resolved individually and the Entrant agrees to not file by resort to any form of class action and/or through any family member and/or through third party applications, criminal and/or civil proceedings in any courts or forums against the Company, their directors, employees, officers, affiliates or subsidiaries to claim any damages. Under no circumstances will the Company and/or the Company entities be liable for any consequential, indirect, special punitive or incidental damages or lost profits, whether direct or indirect, arising in any way whether in contract, tort (including negligence) or otherwise.
4. The Company, its affiliates, process advisors, contractors, partners and promotion and advertising agencies are not responsible for technical, hardware, software or other communication malfunctions, errors or failures of any kind, lost or unavailable network connections, Application, internet, ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of information (regardless of cause) or failed, incomplete garbled, jumbled or delayed computer transmissions which may include any injury or damage to Entrant(s) or any person’s computer or mobile device relating to or resulting from participating in or downloading any materials. The Company is not responsible for lost, late, illegible, incomplete, invalid, unintelligible, technically corrupted and misdirected entry(ies), which will be disqualified.
5. In the event of any fault, misunderstanding or dispute concerning any part of the Show and/or the operation of the telephone / Computer system, Call-backs, selection of Winner, the decision of the Company shall be final and binding on all Entrant(s). The Company is empowered to take a decision on any case or instances not covered by the present Terms & Conditions.
6. All information provided in connection with the Show is provided "as- is" without warranty of any kind. Show Management makes no representations and disclaims all express, implied, and statutory warranties of any kind to the Entrant and/or any third party including, without limitation, warranties as to accuracy, timelines, completeness, or fitness for any particular purpose.
7. The Company reserves the right to not offer the said Show to any Entrant(s), if it believes, in its sole discretion that the same would contravene any applicable laws, in any part of the Territory.
8. Entrant(s) acknowledge and agrees that the relationship between the Entrant(s) and the Company is not a confidential, fiduciary or other special relationship.
9. The Company shall endeavor to make all reasonably practicable arrangements to ensure uptime of system, back-up of data, server capacity and prevent other technical impediments, but can make no guarantee thereof and shall not in any manner be responsible for any technical problem with the internet and by participating in the Show, the Participant agrees not to hold the Company liable for any such technical problem or shall have any claim in this regard.
10. Taking part in the registration process shall be deemed to be acceptance by the Participant(s) to receive promotional messages from the Company or any third party so authorized by the Company.
11. This Show is subject to force majeure circumstances including without limitation, floods, natural disasters, war, act of terror, political unrests, technical snags, pandemic, act of God or any circumstance beyond the reasonable control of the Company ("Force Majeure Event"). Company shall be not liable for any delay or adverse effect caused to the Entrant(s) in the Show including the Winners as a result of a Force Majeure Event.
12. The Terms & Conditions of and in relation to the Show as stated herein, is an electronic record in terms of Information Technology Act, 2000 (“Act”) and rules thereunder as applicable and the amended provision pertaining to electronic records in various statutes as amended by the Information Technology (Amendment) Act, 2008.
13. Entrant(s) who do not comply with these Terms & Condition, or who attempt to interfere with the operation of the micro site in any way will be disqualified and their entries may not be counted.
14. Prizes are subject to laws of India and applicable taxes, as may be applicable to the Winners. All taxes including TDS as may be applicable, under the Indian taxation laws etc. shall be borne by the Winner before claiming their respective prizes.
15. Quality/Service of the Prize(s) is as certified by the manufacturer/sponsorer of the product and /or service rendered. The Company does not give any guarantee or take any responsibility and/or liability for the same and in the event of any query or complaint pertaining to the Prize, it should be directly taken up with the manufacturer /sponsor. SSL does not take any responsibility /liability for the same.
16. The registration, optional accessories, insurance, taxes, octroi, other applicable levies and all other incidental expenses, costs and charges, if any, on the Prize(s), under this Talent Show are to be borne by the respective winners and paid by the winners before claiming the Prize(s). Colour and description of the product/prizes may vary as per availability of the stock. Company shall not be held liable and/or responsible for the same. Any complaint /query relating to the afore said Prize(s) must be directly taken up with the manufacturer/sponsorer of the Prize(s)
17. The Show shall be governed by and construed in accordance with the applicable laws in India. All matters with respect to the Show are subject to the exclusive jurisdiction of the courts in Mumbai.
18. If any provision of these Terms & Conditions is held by any court or other competent authority to be void or unenforceable in whole or in part, the other provisions of these Terms & Conditions and the remainder of the affected provisions shall continue to be valid.
19. Any conflict within various provisions of these Rules and Regulations and interpretation of these Rules and Regulations will be done by the Company. The decision of the Company shall be final and binding.
20. If Entrant are unclear as to the Terms & Condition or any element of the Show or have any queries/concerns pertaining to the Show, they can write in with their questions, concerns or queries to customercare@shoppersstop.com.

1. The Entrant(s) shall undertake, warrant and guarantee to the Company that the Entrant has full legal capacity to participate in the Show and in accordance with these Rules & Regulations.
2. The Entrant shall indemnify and hold the Company harmless, its group companies, affiliates, process advisors and subsidiaries and their respective officers, directors and employees, against any loss that may occur to them due to non-adherence of these rules and regulations and the other rules and regulations as contemplated herein to be complied by each Entrant.
3. The Entrant and their successors-in-interest hereby shall hold harmless and indemnify the Show Management, the Company, affiliates, group companies, partners, sponsors, Process advisors, process partners, its agents, representatives, its employees, officers, directors, contractors, partners or other persons used by them in relation to this Show and hold them harmless against any loss, claim, demands, costs, damages, judgments, expenses or liability (including legal costs) arising out of or in connection with any or all claims, that may be brought against the Company, Show Management, or by any third party in connection with the Entrant’s/ participation in the Show, winning the Show, or awarding or the use or misuse of content of the show and shall reimburse the Company, and/or the Show Management for any loss, costs, expense, or damage to which said indemnity applies. The Company and/or Show Management (as the case maybe) shall give the Entrant written notice of any claim or actions covered by this indemnity, and Entrant shall have the right, at its own expense, to participate in any such action.

1. Show Management has no obligation to screen information submitted and is not responsible for monitoring information submitted, to prevent violation of intellectual property rights, or violations of any law, rule or regulation. If Show Management is notified of submissions or materials that allegedly do not conform to these Terms & Conditions, it may investigate the allegation and determine in good faith and in its sole discretion whether to reject an Entrant from the Show. The Show Management has no liability or responsibility to Entrant or other Users for performance or non-performance
2. The Microsite / website and other applications are provided on an "as-is" basis without any warranties of any kind. To the fullest extent permitted by applicable law, the Company and the Show Management disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose and non-infringement in respect of the Show, and Microsite / website and other application. Without limiting the foregoing, the Company and the Show Management specifically disclaim any warranty (a) that the Microsite / website and other application will be uninterrupted or error-free, (b) that defects will be corrected, (c) that there are no viruses or other harmful components that exist on the Microsite / website and other Application (d) regarding the security of information submitted, and (e) regarding correctness, accuracy, or reliability. If Entrant's use of the Microsite / website and other Application, online entry form results in the need for servicing or replacement of Entrant's or another's equipment or data, the Company and the Show Management are not responsible for those costs.

The Show Management reserves the right, in its sole discretion, at any time and at any stage of the Show, to reject or disqualify any Entrant or application that is deemed ineligible or for any reason that the Show Management feels is necessary and/or appropriate, including without limitation, if that Entrant has not complied with these Rules and Regulations or the rules of the Show, the Show Management determines he/she is attempting to undermine the legitimate operation of the Show by cheating, deception, or any other unfair playing practices or intending to annoy, abuse, threaten or harass any other Entrant or the Show Management, or has interfered, in Show Management’s sole opinion, with the proper conduct of the Show.
2. Entrant and/or any party that accesses the Microsite / website and other Application, agrees that neither the Company nor any third party content or service providers involved in the Show will be liable to Entrant for any loss or damages, either actual or consequential, arising out of or relating to these rules and regulations, Entrant’s use or inability to use the Microsite / website and other Application, or to Entrant’s reliance upon information obtained from or through the Microsite / website and other Application, participation in the program, travel, or use or misuse of any prize. In particular, neither the Company nor its third party content or service providers will have liability for any consequential, indirect, punitive, special or incidental damages, whether foreseeable or unforeseeable (including, but not limited to, claims for defamation, errors, loss of data, or interruption in availability of data), arising out of or relating to the Show, terms of use, visitor's use or inability to use the Microsite / website and other Application, online entry form or to visitor's reliance upon information obtained from or through the Microsite / website and other Application, participation in the Show, travel, or use or misuse of any content of the Show, whether based in contract, tort, statutory or otherwise.
3. The participation in the Show explicitly provides unconditional acceptance of all these Rules and Regulations of the Show by the Entrant.

1. The Microsite / website and other Application is only used (the “Application”) for the Show. The Company or its subsidiaries or holding entities are not liable or responsible for any action or decision taken by Entrant or anyone acting on Entrant’s behalf or under Entrant employment or under contract with Entrant. The Company shall not be under any obligation to Entrant and Entrant shall have no obligation or rights in relation to the Show and shall have no claims whatsoever against the Company relating Show.
2. The Microsite / website and other Application is controlled and offered by the Company in India. Company makes no representations that the Microsite / website and other Application is available for use in other locations. Entrant(s) accessing and/or using the website from other jurisdictions, can do so at their own violation and are solely responsible for compliance with applicable laws. The Company cannot guarantee whether the website will function in such jurisdictions outside India. An Entrant may not be able to register in the event the Entrant is travelling outside India. The Company shall not be responsible for the Entrant not being able to access the website and/or the Entrants not being able to register in such situations.
3. The Company shall not be responsible for:

• any delivery, failures relating to the registration or updating number;
• any SPAM generated messages as a result of Entrant accessing the Website;
• Show Management not receiving or rejecting any data;
• any lost, late or misdirected computer transmission or network, electronic failures of any kind or any failure to receive entries owing to transmission failures or due to any technical reasons and
• Other conditions/situations or failures beyond its control, any government order, law, rule and regulation.

The Rules and Regulations have been originally written in English and translated in Hindi or any other vernacular language(s). In case of any conflict in the interpretation of the clauses between the Hindi/ vernacular language(s) and English rules and regulations, the interpretation of the English rules and regulations shall prevail.
